1. APEX HR SOLUTIONS will take service charges from the Company for the providing recruitment support and it would be as per below fee structure:
   8.33% on annual CTC of selected candidates
2. Service Tax will be extra and as applicable
3. Final bill would be raised as invoice on the day of the candidates joining duty and the same is payable within 30 Days (Thirty Days).

1. APEX HR SOLUTIONS guarantees that all information obtained in the course of an assignment would be kept strictly confidential

1. This agreement is valid till either of the parties terminates it by giving an party.

1. APEX HR SOLUTIONS will provide a free replacement, if the candidate placed by APPEX SOLUTIONS voluntarily leaves your organization with in Ninety Days (03 months)of joining.
2. APEX HR SOLUTIONS will provide free replacement if a candidate resigns voluntarily and not for termination.

1. All the details of the open positions to be communicated only through e-mails by the Company
2. In the event of multiple vendors used by the Company if the same C.V. is received by the Company from more than one vendor then the C.V. received first from a vendor will be considered.
3. On a specific mandate given for sourcing, APEX HR SOLUTIONS will have 3 days as mutually agreed by APEX HR SOLUTIONS and the Company. The Company will respond to the CV’s sent within 2 days.
4. The Company shall make the payment to APEX HR SOLUTIONS for invoices on or before the day as specified above .Any discrepancy of the invoice will have to be informed through a written communication to have the same resolved sufficiently in the time to ensure the payment with in the agreed timeline
5. APEX HR SOLUTIONS will validate and provide CV to the Company for the mandates given. In the course of the fulfillment and there after if any candidates is recruited by the Company from such CV’s even if such a CV was rejected earlier by the Company within 01 year of referring by APEX HR SOLUTIONS, the Company is bound to inform APEX HR SOLUTIONS on the first instance to raise the invoice or alternatively APEX HR SOLUTIONS will raise the invoice. In such cases the payments are to be made instantly.
6. Either parties to this agreements APEX HR SOLUTIONS and the Company shall not resort to poaching of any of the direct/indirect employees at any given point of time and if found doing so it shall be presumed as a material breach of this agreements and therefore is entitled to terminate this agreement with immediate effect. If the Company employs any employee of APEX HR SOLUTIONS direct/indirect during the subsistence of this agreement or one year thereafter ,then the Company will pay to APEX HR SOLUTIONS an amount to the equivalent to one year CTC of the person so employed and also if APEX HR SOLUTIONS employs any employee of the Company direct/indirect during the subsistence of this agreement or one year thereafter, then APEX HR SOLUTIONS will pay to the Company an amount equivalent to one year CTC of the person so employed.
   A duly countersigned copy of this proposal will constitute a valid contract between the Company and APEX HR SOLUTIONS.
